BUSINESS WEBSITE DISCLOSURES (PAYMENT PROCESSOR VERIFICATION)

This section summarizes information Stripe and other payment partners require for business website review and account activation. It is incorporated into these Terms of Service.

Business legal name: EzShopper Technologies Inc., a corporation incorporated under the laws of the State of Delaware, United States of America.

Trade name / website: etrovvo.com (public website) and app.etrovvo.com (merchant dashboard and authenticated services).

Description of products and services: Etrovvo provides (1) B2B SaaS tools for merchants—including hosted online stores, inventory, pricing, customer engagement, AI-assisted operations, and optional marketplace listing—and (2) a B2C marketplace where consumers discover and purchase products from participating merchants. Merchants may sell physical and digital goods subject to applicable law and our Acceptable Use Policy below.

Pricing: Merchant SaaS subscription fees (Free, Growth, Pro, Scale) are displayed on our pricing pages before checkout. Marketplace product prices are set by each merchant and shown on product and checkout pages before payment.

Refund and return policy (summary): End-customer refunds for marketplace or store purchases are handled by the selling merchant according to the merchant’s published return policy and applicable consumer law. Etrovvo SaaS subscription refunds and billing changes are managed through Stripe billing tools or by contacting hello@etrovvo.com. See Sections 6 and 7 below.

Subscription cancellation: Merchants may cancel paid SaaS plans through the Stripe Customer Portal (“Manage billing”) or by contacting hello@etrovvo.com. Cancellation stops future charges; access may continue until the end of the paid period unless otherwise stated at cancellation.

Prohibited businesses: Merchants may not use Etrovvo for illegal products or services or for categories prohibited by Stripe, PayPal, or other payment partners. See Section 8.

1. Agreement to These Terms

By accessing or using etrovvo.com, app.etrovvo.com, or related services (the “Platform”), you agree to these Terms of Service (“Terms”) and our Privacy Policy at https://etrovvo.com/privacy. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a business, you represent that you have authority to bind that business.

2. Eligibility

You must be at least eighteen (18) years old and able to form a binding contract. Merchants must provide accurate business and identity information required for verification, tax, and payment processing.

3. The Platform

3.1 Merchant (B2B) Services Merchants receive tools to create and operate online stores, manage catalog and orders, connect payment methods (including Stripe Connect where available), and optionally participate in the Etrovvo marketplace.

3.2 Consumer (B2C) Marketplace Consumers may browse and purchase from participating merchants. Etrovvo is a platform provider; merchants are the sellers of record for their products unless we expressly state otherwise.

3.3 Changes to Services We may add, modify, or discontinue features with reasonable notice where practicable.

4. Accounts and Security

You are responsible for safeguarding credentials and for activity under your account. Notify us promptly at hello@etrovvo.com of unauthorized use.

5. Fees and SaaS Subscriptions

5.1 Plan Fees and Sales Fees Subscription. Paid plans (Growth, Pro, Scale) are billed in advance on a monthly or annual cycle through Stripe Checkout on our platform Stripe account.

Sales fees. On each completed sale, Etrovvo retains a platform commission and, in addition, the payment processor's fee is deducted from your payout: (a) Storefront (your own store) commission — Free plan: 10% of the merchandise value; paid plans (Growth, Pro, Scale, Enterprise): 0% (these plans are monetized through the subscription). (b) Marketplace commission — Free: 12%; Growth: 9%; Pro: 7%; Scale and Enterprise: 5% of the merchandise value. (c) Payment processing fee — in addition to the commission above, the fee charged by Etrovvo's payment partner applies to each sale, on every plan including Free. This processing fee is set by the payment partner and varies by country and by payment method. By default it is deducted from your payout, and the exact amount per transaction appears in your payout and transaction records in your merchant dashboard (it does not change the price the buyer pays). Alternatively, for sales through your own storefront, you may choose to pass this fee to the buyer, in which case an estimated amount is added to the order total at checkout and you receive the full sale amount; this option does not apply to marketplace sales, where the processing fee follows the default above. Etrovvo may change its payment partner(s) at any time, including on a per-country basis, in pursuit of better rates, conditions, and payment methods, and the applicable processing fee may change accordingly.

Fee base. The commission and the processing fee apply to the merchandise value (after any discount). They do not apply to shipping or taxes, which are pass-throughs; shipping collected from the buyer is retained by Etrovvo to pay the carrier, so you are paid for merchandise only. The percentages above are those in effect on the Effective Date of these Terms and are also shown at https://etrovvo.com/pricing, at checkout, and in your billing settings.

Payout timing. Proceeds from a storefront sale (net of the fees above) are held until delivery is confirmed plus a holding period (currently 10 days), after which you release the payout from your dashboard. Availability also depends on your registered payout details and country.

Fees follow the sale. Storefront and marketplace commissions are determined by the plan in effect at the time each sale is completed. Changing plans does not retroactively change fees on prior sales: sales completed while on the Free plan keep the Free-plan fee even if you upgrade afterward (including before the related payout is released), and upgrading lowers fees only on sales completed after the upgrade takes effect.

5.2 Taxes Fees may exclude applicable taxes, which we collect or remit where required.

5.3 Failed Payment If payment fails, we may suspend paid features after notice.

6. Refunds and Returns

6.1 Marketplace and Store Purchases (End Customers) Refunds, returns, and exchanges for products bought from a merchant are primarily the responsibility of that merchant. Merchants must publish a clear return/refund policy on their storefront (for example at /your-store/p/returns). Etrovvo does not guarantee merchant policies.

Return shipping (reverse logistics): when an eligible return requires return transport, the reverse label is issued by Etrovvo and its cost is borne entirely by the merchant (Seller), deducted from the merchant's payout. The buyer does not pay return shipping.

If you are a consumer with an order issue, contact the merchant first. If you cannot resolve the issue, contact hello@etrovvo.com with your order details and we will help route the request.

6.2 Etrovvo SaaS Subscription (Merchants) If you believe you were charged in error for an Etrovvo subscription, contact hello@etrovvo.com within thirty (30) days of the charge. Approved refunds are processed through Stripe to the original payment method where possible. Nothing in this section limits mandatory consumer rights in your jurisdiction.

6.3 Chargebacks Initiating a chargeback without contacting us first may delay resolution. We provide transaction information to payment processors to respond to disputes.

7. Subscription Cancellation and Changes

7.1 Self-Service Active subscribers with a Stripe customer record may use “Manage billing” in the dashboard to change plan, update payment method, or cancel.

7.2 Effect of Cancellation Cancellation prevents renewal charges. Unless required by law or your plan terms, fees already paid are non-refundable and access continues through the current billing period.

7.3 Downgrade Downgrading may reduce features or limits immediately or at the next billing cycle as shown at the time of change.

8. Acceptable Use and Prohibited Businesses

You may not use the Platform to violate law, infringe intellectual property, distribute malware, harass others, or process payments for prohibited categories including (without limitation): illegal drugs or paraphernalia; weapons where unlawful; adult services where unlawful; unlicensed gambling; counterfeit goods; products that violate export or sanctions laws; or other categories restricted by Stripe’s Restricted Businesses list and applicable payment network rules.

We may suspend or terminate accounts that violate this section or that create undue risk for payment partners.

9. Payments and Stripe

9.1 Platform SaaS Billing Etrovvo’s own subscription charges are processed by Stripe, Inc. on the platform account. Your use of paid Etrovvo plans is also subject to Stripe’s services agreement and applicable card network rules for card payments.

9.2 Merchant Payment Processing Merchants connecting Stripe to receive customer payments enter a separate relationship with Stripe (including Stripe Connect where enabled). Etrovvo is not the merchant of record for end-customer product charges unless explicitly identified in the checkout flow.

9.3 PCI and Card Data We do not store full payment card numbers on our servers for platform checkout; Stripe processes card data under its compliance program.

9.4 Payouts Payouts to merchants are made through our regional payment partners — dLocal Go in Latin America, and Stripe / Stripe Connect where enabled in other regions. Proceeds from a storefront sale are held and then released by the merchant as described in Section 5.1. Timing and availability depend on your registered payout details, account status, and region.

10. Intellectual Property

Etrovvo retains rights in the Platform, brand, and software. Merchants retain rights in their content and grant us a license to host, display, and process it to operate the Platform.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZSHOPPER TECHNOLOGIES INC. AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO ETROVVO FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.

13. Indemnity

You will indemnify and hold harmless EzShopper Technologies Inc. from claims arising from your content, your sales, your breach of these Terms, or your violation of law, except to the extent caused by our gross negligence or willful misconduct.

14. Suspension and Termination

We may suspend or terminate access for breach, risk, non-payment, or legal requirement. You may stop using the Platform at any time. Provisions that by nature should survive will survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your country of residence apply.

16. Changes to These Terms

We may update these Terms by posting a revised version with a new Effective Date and, where required, notifying account holders by email. Continued use after the effective date constitutes acceptance.
